Welcome to NuLife Nation. These Terms of Service ("Terms") govern your use of our website (www.nulifenation.com), AI-powered marketing automation services, and any related products or services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Acceptance of Terms

By using our Services, you confirm that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

NuLife Nation provides AI-powered marketing automation services, including but not limited to lead generation, customer engagement, reputation management, and campaign optimization. Services may include access to our website, software tools, and consulting services. We reserve the right to modify or discontinue any part of the Services at our discretion, with or without notice.

3. Service Term and Minimum Commitment

Our AI marketing automation services require a minimum commitment period of 6 months ("Initial Term") to allow sufficient time for our AI systems to learn your business patterns, optimize performance, and deliver meaningful results. After the Initial Term, services will continue on a month-to-month basis unless terminated by either party with 30 days written notice.

Early termination during the Initial Term will result in a termination fee equal to 50% of the remaining contract value or $2,500, whichever is greater. This fee compensates for the AI training and setup costs invested in your account.

4. User Responsibilities

You agree to:

  • Provide accurate, complete, and current information when registering or using our Services.
  • Maintain the security of your account credentials and notify us immediately of any unauthorized use.
  • Use the Services in compliance with all applicable laws and regulations.
  • Not use the Services for unlawful, fraudulent, or harmful activities, including spamming, phishing, or distributing malware.
  • Not attempt to reverse-engineer, hack, or interfere with the functionality of our Services.
  • Provide necessary content (e.g., marketing materials, data) in a timely manner to enable service delivery.
  • Grant our AI systems necessary access to your marketing platforms (e.g., Google Ads, Meta, CRM) for optimization purposes.
  • Provide timely feedback during the initial 30-day onboarding period to help train the AI models specific to your business.

5. Payment Terms

Our Services are subject to fees as outlined in your service agreement or on our website (e.g., subscription plans, setup fees). You agree to:

  • Pay all fees on time, as specified in your chosen plan (e.g., monthly, annually).
  • Provide valid payment information and authorize recurring charges for subscription services.
  • Notify us of any billing disputes within 30 days of the charge.
  • Understand that all fees during the Initial Term are non-refundable as they cover AI training and setup costs.

Refunds are at our discretion, except where required by law. Non-payment may result in suspension or termination of Services. All fees are exclusive of taxes, which you are responsible for paying.

6. AI Training and Performance

Our AI systems require time to learn and optimize for your specific business needs. You acknowledge that:

  • Initial results may vary as the AI learns your business patterns (typically 60-90 days).
  • Performance improvements are cumulative and build over the Initial Term.
  • You will provide necessary data access and feedback to facilitate AI learning.
  • We continuously monitor and adjust AI models, but cannot guarantee specific performance metrics.
  • AI recommendations should be reviewed by your team before implementation where appropriate.

7. Intellectual Property

All content, software, AI tools, and materials provided through our Services, including but not limited to text, graphics, code, and algorithms, are owned by NuLife Nation or our licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for your business purposes, subject to these Terms.

Any content you provide (e.g., marketing copy, logos) remains your property, but you grant us a worldwide, royalty-free license to use, modify, and display such content to provide the Services. You warrant that you have the rights to provide such content.

The AI models trained on your data remain our proprietary technology, though insights specific to your business may be provided to you upon termination.

8. Data Ownership and Usage

You retain ownership of all your business data. We will:

  • Use your data solely to provide and improve the Services
  • Not sell your data to third parties
  • Apply industry-standard security measures to protect your data
  • Anonymize and aggregate data for improving our AI models

Upon termination, you may request a copy of your business-specific data in standard formats. AI model parameters and trained weights remain our intellectual property.

9. Confidentiality

We will treat your business information as confidential and use it only to provide the Services, except as required by law or with your consent. You agree to treat any proprietary information we share (e.g., AI tool specifications) as confidential.

10. Termination

We may suspend or terminate your access to the Services if you:

  • Violate these Terms.
  • Fail to pay fees when due.
  • Engage in activities that harm our Services or other users.

You may terminate your use of the Services after the Initial Term by providing 30 days written notice. Early termination during the Initial Term will incur the termination fee specified in Section 3. Upon termination, you must cease using the Services, and any outstanding fees remain due. Provisions of these Terms that by their nature should survive termination (e.g., intellectual property, liability) will continue to apply.

11. Limitation of Liability

To the fullest extent permitted by law, NuLife Nation and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Services. Our total liability for any claim will not exceed the fees paid by you for the Services in the 12 months preceding the claim.

The Services are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or meet your specific requirements.

You acknowledge that AI-powered services may produce unexpected outputs and agree to review all AI-generated content before use.

12. Indemnification

You agree to indemnify and hold harmless NuLife Nation and its affiliates, officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

13. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict of law principles. Any disputes arising from these Terms will be resolved exclusively in the state or federal courts located in Orange County, California. You agree to submit to the jurisdiction of these courts.

14. Changes to These Terms

We may update these Terms to reflect changes in our Services or legal requirements. Updates will be posted on this page with a revised effective date. Continued use of the Services after changes constitutes your acceptance of the updated Terms.

15. California Consumer Privacy Act (CCPA) Compliance

We comply with the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA). Your rights regarding personal information, including the right to know, delete, correct, opt-out of sales/sharing, and limit sensitive data use, are detailed in our Privacy Policy. 16. Freelance Worker Protection Act

If we engage freelance workers in California for professional services (e.g., marketing content, design) for an amount equal to or greater than $250, we will comply with the Freelance Worker Protection Act (California Senate Bill 988). All such engagements will be governed by a written contract specifying the services, compensation, payment timeline, and other required terms. We will provide a copy of the contract to the freelancer and retain it for at least four years.

17. Use of Artificial Intelligence

Our Services utilize artificial intelligence to provide features such as lead generation, customer engagement, and campaign optimization. The use of AI in processing your data is described in our Privacy Policy. We are committed to transparent and ethical AI practices, ensuring compliance with applicable California laws and regulations.

18. Messaging Services (A2P 10DLC Compliant)

By opting in to our messaging services (including SMS, MMS, or other electronic communications), you agree to receive automated marketing and/or non-marketing (operational) messages from NuLife Nation at the phone number or email address provided. Message frequency varies.

Consent Requirements

We obtain separate consent for marketing and non-marketing messages:

  • Marketing messages: Require explicit opt-in consent
  • Non-marketing messages: Include order updates, appointment reminders, transaction notifications, and account alerts

User Control and Opt-Out

You can opt-out of messaging at any time:

  • For marketing messages: Reply STOP to unsubscribe from marketing messages
  • For assistance: Reply HELP for help or contact us at hello@nulifenation.com
  • After texting STOP, you will receive one confirmation message confirming no further marketing messages will be sent

Carrier Compliance and Charges

Supported carriers include AT&T, T-Mobile®, Verizon, Sprint, and others. Carriers are not liable for delayed or undelivered messages.

Message and data rates may apply. You are responsible for any charges from your mobile carrier.

Compliance with A2P 10DLC Regulations

NuLife Nation complies with A2P (Application-to-Person) 10DLC messaging requirements and regulations. We have registered our brand and messaging campaigns with The Campaign Registry (TCR) to ensure compliance with carrier requirements.

Message Content

All messages will clearly identify NuLife Nation as the sender and will include:

  • Clear opt-out instructions in marketing messages
  • Customer care information
  • Appropriate content that complies with carrier guidelines

Privacy and Data Protection

We respect your privacy. Your phone number and message content will be used solely to provide the requested messaging services. Please see our Privacy Policy for more details.

Our Privacy Policy and Terms of Service apply to all messaging services.

19. Automatic Renewal Terms

If you subscribe to a Service with automatic renewal (e.g., monthly or annual plans), we will provide clear disclosures about the renewal terms at the time of subscription, obtain your explicit consent, and send renewal reminders before charging. You may cancel your subscription at any time by contacting us at hello@nulifenation.com or through your account settings, if available. Cancellations will take effect at the end of the current billing cycle, and no partial refunds will be issued unless required by law. These practices comply with California's Automatic Renewal Law (Business and Professions Code § 17600 et seq.).
